Terms of Service

Effective [to be confirmed] · [to be confirmed]

1. The agreement

These Terms are a contract between [to be confirmed] ("unitbook", "we", "us") and the business that creates a unitbook account ("Customer", "you"). By creating an account you accept these Terms on behalf of that business and confirm you have authority to bind it.

unitbook is a business tool. It is not offered to consumers, and every user must be at least 18.

2. Accounts and acceptable use

You are responsible for your Users, the roles you give them, and everything done under your account. Keep passwords and API tokens confidential and tell us promptly at support@unitbook.io if you suspect unauthorised access.

You must not:

We may suspend access that breaches this section or puts the Service or other customers at risk. Where practical, we will warn you first.

3. Your data

You own Customer Data. You give us only the rights we need to host, process, back up, display and transmit it to run the Service for you, including generating and emailing invoices and service reports at your direction.

For personal data about your Users and Your Clients, you are the controller and we are your processor. Our Data Processing Agreement forms part of these Terms.

You are responsible for having a lawful basis to collect what you record, including client signatures, and for telling Your Clients that you use unitbook.

Export and deletion. You can export submissions as CSV and download invoice and service-report PDFs at any time. After your subscription ends you have 30 days to export. We then delete Customer Data from the live system, and backup copies expire after that, unless the law requires us to keep something longer.

We may use aggregated, de-identified usage statistics to operate and improve the Service. These never identify you, your Users or Your Clients.

4. Subscriptions and payment

unitbook is sold as a monthly or annual subscription in US dollars, at the price shown at checkout. Payments are processed by Stripe. Where Stripe acts as merchant of record, Stripe is the seller of record for the charge, collects any applicable sales tax or VAT, and issues the receipt.

Amounts you invoice Your Clients through unitbook are between you and them. We are not a party to those invoices and do not collect or hold that money.

5. Availability, support and changes

We aim to keep the Service available around the clock but do not guarantee uninterrupted access. Support is by email at support@unitbook.io.

We may improve or change features. We will not materially reduce core functionality you pay for during a paid period without notice and, if it affects you, a pro-rated refund of the unused period.

6. Intellectual property and confidentiality

We own the Service, its software, design and the unitbook name. You get a limited, non-exclusive, non-transferable right to use it during your subscription. You own the branding you upload and let us display it on your invoices and reports. If you send us suggestions, we may use them without obligation to you.

Each party will keep the other's non-public information confidential and use it only for this agreement, except information that is public, already known, independently developed, or that must be disclosed by law.

7. Warranties, liability and indemnity

Apart from what these Terms expressly promise, the Service is provided "as is" to the extent the law allows. You are responsible for checking invoices, tax figures and reports before you send them.

Neither party is liable for indirect or consequential losses, lost profits or lost revenue. Each party's total liability under these Terms is limited to the fees you paid in the 12 months before the claim. This cap does not limit your payment obligations, a breach of section 2, confidentiality obligations, fraud, or liability that cannot be limited by law.

You will defend us against third-party claims arising from Customer Data you collected unlawfully or your breach of section 2. We will defend you against claims that the Service, as we provide it, infringes someone's intellectual property.

8. Term and termination

These Terms apply from signup until your subscription ends. You can cancel any time. We can end the agreement with 30 days' notice, or immediately if you materially breach these Terms and do not fix it within 14 days of notice. When it ends, section 3 (export and deletion) applies.
